Non Circumvention Non Disclosure Clauses in Business
Agreements should be made standard practice.
A broker arranged a meeting between two gold merchants in a
hotel room, where business cards were exchanged. Later, in the course of
negotiations, an insurmountable disagreement cancelled the deal and they flew
back to their respective countries. However, the very next week they met again –
and clinched the deal-without the broker. He had been neatly circumvented as he
had neglected executing NCND and other documentation, seeing to the power and
position of the two parties. Blind faith can be bad for business.
Senior executives
on a business trip should go by separate flights. On 13th July 2000 an AIR
ALLIANCE plane crashed at Patna, killing all members of a National Thermal
Power Corporation team on an important assignment.
For the same
reason, they should use separate surface transports.
EXECUTIVES ON
SENSITIVE ASSIGNMENTS SHOULD VARY THEIR PATTERN OF MOVEMENT, VEHICLES AND
OVERNIGHT LOCATIONS. Criminals know this rule well. In a case of ‘mistaken
identity' police opened fire on a car in Connaught place, New Delhi, killing
both occupants who turned out to be bona-fide businessmen and not the criminals
they had targeted. In this case, the gangsters' change of pattern saved their
lives but innocent civilian lives were lost.
Integration with
other departments' working can be facilitated by:
·upgrading their image
·encouraging their involvement in all (especially HR)
Department's security concerns.
Security police assigned to PM/VIP coverage know the value of networking. The
man at Rajghat who fired a pellet gun round at Rajiv Gandhi could never have
succeeded had security liaised with Raj Ghat horticultural personnel and checked
out all the trees in advance.
